# Prompted Contributor License

This agreement is between the photographer named below (the "Photographer") and Cooper Industries, support@cooperindustries.cc ("Cooper"), publisher of the Prompted iOS app.

## 1. Submitted photographs

The Photographer submits a set of photographs to the Prompted contributor program (the "Photographs"). Cooper reviews the set and tells the Photographer which frames it accepts (the "Accepted Photographs"). Declined frames are deleted from Cooper's systems and are not covered by this license.

## 2. License grant

The Photographer grants Cooper a **non-exclusive, perpetual, worldwide, royalty-free** license to reproduce, display, distribute, and create derivative crops, resizes and edits of the Accepted Photographs:

- in the Prompted app, including the pose reference library, screenshots, shared pose cards and exported PDF contact sheets; and
- in Cooper Industries marketing, including the cooperindustries.cc website, the App Store listing, social media (including Pinterest), email, advertising and press materials.

Cooper may sublicense these rights to service providers (for example, hosting and app distribution) only as needed to deliver those uses.

## 3. Copyright

The Photographer retains copyright and all other rights in the Photographs. This license does not transfer ownership. The Photographer may continue to use and license the Photographs to anyone else.

## 4. Attribution

Cooper will credit the Photographer by name in the pose detail screen for each Accepted Photograph in the form **"Photo: <name>"**, and where practical in marketing uses. The Photographer chooses the credit name (personal name or business name) and sees it before the first publication.

## 5. Warranties

The Photographer confirms that: (a) they created the Photographs and own the copyright; (b) they hold a signed model release, in substantially the form Cooper provides, for every identifiable person in each Accepted Photograph, including a guardian's signature for any minor; (c) the Photographs do not infringe any third party's rights and no third party's consent is required for the uses above; and (d) they will keep the releases on file and provide copies to Cooper on request.

## 6. Consideration

For an accepted set of **10 to 15 frames**, Cooper will grant the Photographer **Prompted Pro, lifetime**, on one Apple Account of the Photographer's choosing. The grant is personal, non-transferable, and not exchangeable for cash. No other payment is owed.

## 7. Termination

Neither party may revoke uses already published. Publication that has already occurred, in the app or in marketing, may continue indefinitely, including in app versions, printed material and posts that are already live. The Photographer may at any time ask Cooper in writing to stop new publication of an Accepted Photograph; Cooper will remove it from future catalog updates and new marketing within 30 days. Prompted Pro already granted is not affected.

## 8. General

This is the whole agreement about the Photographs and can be changed only in writing signed by both parties. It is governed by the laws of the state where Cooper Industries is based. Neither party is liable to the other for indirect or consequential damages.
